SNL Terms and Conditions for Website and Software

**SAVE NEBRASKA LOCAL LLC

SAVE LOCAL APP PLATFORM
SOFTWARE-AS-A-SERVICE (SaaS), HOSTING, AND WEBSITE SERVICES AGREEMENT**

This SaaS Agreement (“Agreement”) is entered into between Save Nebraska Local LLC (“Provider”) and the undersigned customer (“Client”). By subscribing to, accessing, or using the Save Local App Platform, Client agrees to the terms below.


1. SERVICES PROVIDED

1.1 Hosting Tier – $50/month

Includes:

A professionally built website (up to 5 pages)

3 included website changes during onboarding

Training on basic editing (text, photos, colors, layout)

Access to Save Local App University (web design, Facebook ads, Google profile optimization, SEO, blogging, SMS campaign training)

High-speed, performance-optimized hosting

Unlimited bandwidth/traffic

Built-in SMTP email notifications

Optional Ongoing Updates:

$100/month Website Care Plan for continual website updates beyond the included onboarding changes


1.2 Ecommerce Add-On – $80/month

Build-out of 5 initial ecommerce products

Full ecommerce integration inside the Save Local App Platform

Client may add additional products at any time


1.3 Course Build Add-On – $150/month

1 complete course build inside Save Local App University

Training on how to manage, update, or create future courses independently


2. SOFTWARE TIERS OF THE SAVE LOCAL APP PLATFORM

2.1 Tier 1 – Software & University – $150/month

Includes:

Access to Save Local App University

Facebook Ads Training

SEO Training

Google Business Profile Optimization Training

Blogging & Text Campaign Training

CRM with:

Website Builder

Web Chat Widget (30–50% increase in website leads on average)

Missed Call Text Back (re-engages missed calls)

Call Tracking & Recording

Invoicing Software

Unified Messaging (Google Messages, Facebook/Instagram DMs, web chat, forms, calls)

Tier 1 frequently replaces tools like Mailchimp, ActiveCampaign, Klaviyo, HubSpot, Jobber, and Housecall Pro.


2.2 Tier 2 – Automate Your Business – $250/month

Includes everything in Tier 1, plus:

Review Automations (automatic review requests on invoice completion)

IVR Phone Tree

3-Click Facebook Ads inside the platform

Automated Lead Follow-Up

Automated Webchat Follow-Up

SMS Appointment Reminders

3 custom forms or surveys (built and integrated)

90-minute Facebook Ads consultation

90-minute SEO consultation

Case studies include Duct Decontaminators and Rocket Rolloffs, among others.


2.3 Tier 3 – AI Secretary (Autopilot)

Includes everything in Tier 2, plus:

AI Appointment-Setting Secretary

AI Frequently Asked Questions Secretary

AI Automated Review Responses

AI Workflows

3 custom-built automations designed for optimal AI performance

Priority “Front-of-the-Line” support


3. SYSTEM LIMITATIONS (ALL TIERS)

10,000 contact limit

5 user limit

Additional contacts, automations, or users may incur extra costs

AI accuracy depends on Client inputs, industry, and ongoing monitoring

Usage-based billing applies for SMS, call minutes, email AI, premium workflow execution, and AI execution usage

Carrier filtering or third-party downtime is outside Provider control


4. ADDITIONAL FEES

Client acknowledges and agrees that the following usage-based fees apply in addition to subscription pricing.

4.1 Usage-Based Billing

The Save Local App Platform utilizes carriers, AI processors, and automation engines that require usage-based billing. The following items incur additional fees and will be automatically billed to the payment method on file:

SMS Usage Charges

Outbound SMS

Inbound SMS

MMS (when applicable)

A2P10DLC registration and carrier compliance fees (if applicable)

Call Usage Charges

Outbound and inbound phone calls

AI Secretary phone calls

Call recording and storage fees

AI Execution Usage

AI phone calls

AI text responses

AI chatbot interactions

AI review replies

AI FAQ automation

Any AI-driven automated conversation

Premium Workflow Execution Fees

High-volume workflows

Multi-step or advanced automations

Webhook-driven workflows

Workflows triggered by AI logic or user actions

Email AI Usage

AI-generated email drafts

AI automated email replies

Email-related AI workflow steps

Client understands that usage-based fees vary based on volume and activity. These fees are nonrefundable and billed automatically.


4.2 Additional Service Fees

Ongoing website updates: $100/month

Custom development, specialty workflows, or advanced integrations: quoted individually

Additional phone numbers, contact expansions, or user seats may incur added charges

Client must maintain an active payment method for all usage, subscription, and add-on charges.


5. CLIENT RESPONSIBILITIES

Client agrees to:

Provide all necessary information, branding assets, and communication needed for setup

Maintain compliance with SMS and email laws (TCPA, CAN-SPAM, A2P10DLC)

Maintain a valid payment method for subscription fees and usage-based fees

Monitor AI, automations, and workflows for accuracy

Ensure any claims made on their website are truthful and legally compliant

Provider is not responsible for:

Legal compliance of Client’s business

Sales outcomes, lead volume, review results, or advertising performance

Errors caused by incomplete or inaccurate information provided by Client


6. TERM AND TERMINATION

Agreement is month-to-month

Cancellation requires 30-day written notice

No refunds for partial months, partial years, or unused periods

Provider may suspend or terminate service for nonpayment, abuse of platform, or illegal use


7. INTELLECTUAL PROPERTY

Provider retains ownership of:

The Save Local App Platform

Software, templates, automations, workflows, and underlying code

Proprietary strategies and business logic

Client retains ownership of:

Uploaded assets (logos, photos, products, text, videos)

Websites built by Provider are licensed for use only while subscribed to the Save Local App Platform.

Provider is not obligated to rebuild, export, or migrate the website to another platform if Client cancels.


8. DATA USE & PRIVACY

Provider agrees:

Not to sell, mine, share, or repurpose Client’s customer data

To use Client data only to provide platform services

To follow industry-standard security practices

Client agrees:

To comply with applicable privacy laws

To allow Provider to store and process data as needed for platform functionality

Provider may use anonymized, non-identifiable data for performance insights or case studies unless Client opts out.


9. LIMITATION OF LIABILITY

To the maximum extent allowed by law:

Provider is not liable for indirect damages including lost profits, missed leads, business interruptions, or system downtime

Provider is not responsible for:

Carrier filtering

AI inaccuracies

Third-party outages (Google, Meta, hosting vendors, phone carriers)

Advertising performance changes

Provider’s total liability shall not exceed one month of fees paid by Client


10. WARRANTY DISCLAIMER

All services are provided “as-is” without warranties of:

Leads

Sales

Reviews

SEO ranking

Business revenue

Advertising performance

No software or marketing service can guarantee specific financial outcomes.


11. CONFIDENTIALITY

Both parties agree to keep shared business information, credentials, and strategies confidential for the duration of the Agreement and thereafter.


12. GOVERNING LAW

This Agreement is governed by the laws of the State of Nebraska.


13. ACCEPTANCE

By signing — or by using or paying for the Save Local App Platform — Client agrees to all terms of this Agreement.
